Terms of Service

SECTION 01

Acceptance of Terms

By accessing, browsing, or using the NexusFleet platform ("Platform"), operated by NexusFleet ("Company", "we", "us", or "our"), a company incorporated and registered in Malta, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to update or modify these Terms at any time. Continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or an in-platform notification at least 14 days before they take effect.

SECTION 02

Account Registration

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials and not share your account access with any third party.
  • Accept full responsibility for all activities that occur under your account.
  • Immediately notify NexusFleet of any unauthorized use of your account or any other breach of security.

You must be at least 18 years of age to create an account. We reserve the right to refuse registration to, or terminate the account of, any user at our sole discretion.

SECTION 03

Subscription Plans & Billing

NexusFleet offers tiered subscription plans, each billed on a recurring monthly basis. All prices are listed in Euros (EUR) and are exclusive of any applicable taxes unless otherwise stated.

All payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize NexusFleet and Stripe to charge your designated payment method on a recurring monthly basis until you cancel your subscription.

Subscription fees are charged at the beginning of each billing cycle. If your payment method fails, we will attempt to charge it again. If payment remains unsuccessful after 7 days, your account may be suspended until the outstanding balance is resolved.

We reserve the right to modify subscription pricing with at least 30 days' prior written notice. Existing subscribers will be notified via email before any price change takes effect on their next billing cycle.

SECTION 04

Activation Fee

All new subscriptions are subject to a one-time, non-refundable activation fee of €350. This fee covers initial account provisioning, onboarding configuration, AI agent setup, and infrastructure allocation.

The activation fee is charged at the time of your first subscription purchase alongside your first monthly billing cycle. This fee is payable once per account and does not recur if you upgrade, downgrade, or re-subscribe within 12 months of your original activation date.

SECTION 05

Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period.
  • You will retain access to all Platform features until your subscription expires.
  • No partial or prorated refunds will be issued for the remainder of a billing period.
  • The one-time activation fee of €350 is non-refundable under any circumstances.

If you believe a charge was made in error, you may submit a dispute to support@nexusfleet.net within 14 days of the charge. We will review your claim and respond within 10 business days.

In compliance with EU consumer protection regulations, if you are a consumer based in the European Economic Area (EEA), you may be entitled to a 14-day cooling-off period from the date of purchase, provided you have not yet accessed or used the Platform services. To exercise this right, contact us in writing before the 14-day period expires.

SECTION 06

Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Platform to engage in any activity that violates any applicable local, national, or international law or regulation.
  • Transmit, distribute, or store material that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any systems, networks, or data connected to the Platform.
  • Use the Platform to send unsolicited bulk messages (spam) or conduct any form of unauthorized automated communication.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any of its components.
  • Use the Platform to create, train, or improve competing AI products or services without prior written consent.
  • Resell, redistribute, or sublicense access to the Platform without explicit authorization from NexusFleet.
  • Circumvent, disable, or otherwise interfere with any security-related features of the Platform.

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including without limitation, reporting suspected illegal activity to law enforcement authorities and terminating your account.

SECTION 07

Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, AI models, agent configurations, workflows, and the overall design and compilation thereof, are the exclusive property of NexusFleet or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content. You retain ownership of any data, content, or materials you upload to or create through the Platform ("User Content"). By uploading User Content, you grant NexusFleet a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Platform services.

AI-Generated Outputs. Content generated by AI agents on your behalf through the Platform ("Output") is owned by you, subject to any applicable third-party licensing restrictions of the underlying AI models. NexusFleet makes no claim of ownership over Output generated for your account.

SECTION 08

Data Protection

NexusFleet is committed to protecting your personal data in accordance with Regulation (EU) 2016/679, the General Data Protection Regulation (GDPR), and all applicable data protection legislation of Malta.

By using the Platform, you acknowledge and agree that:

  • We collect, process, and store personal data as described in our Privacy Policy, which forms an integral part of these Terms.
  • Personal data is processed on lawful bases including contractual necessity, legitimate interests, and where applicable, your explicit consent.
  • You have the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to object to processing and the right not to be subject to automated decision-making.
  • We implement appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage.
  • Where we engage third-party sub-processors (including Stripe for payment processing and cloud infrastructure providers), we ensure they provide sufficient guarantees regarding data protection compliance.

To exercise any of your data protection rights or to raise a concern, contact our Data Protection Officer at dpo@nexusfleet.net. You also have the right to lodge a complaint with the Office of the Information and Data Protection Commissioner (IDPC) in Malta.

SECTION 09

Service Availability

NexusFleet strives to maintain a monthly uptime of 99.9% for all core Platform services ("SLA Target"). Uptime is measured as the percentage of total minutes in a calendar month during which the Platform is operational and accessible.

The SLA Target excludes downtime caused by:

  • Scheduled maintenance windows, which will be communicated at least 48 hours in advance via email or the Platform status page.
  • Force majeure events, including but not limited to natural disasters, government actions, pandemics, war, or civil unrest.
  • Third-party service outages beyond our reasonable control, including upstream API providers, DNS, and cloud infrastructure failures.
  • Your own network connectivity issues, hardware failures, or misconfigurations.

If we fail to meet the 99.9% SLA Target in any given calendar month, affected subscribers on paid plans may request a service credit equal to 5% of that month's subscription fee for each full 0.1% of downtime below the target, up to a maximum credit of 30% of the monthly subscription fee. Service credits must be requested within 30 days of the affected month and are applied to future invoices only; no cash refunds are issued.

SECTION 10

Limitation of Liability

To the maximum extent permitted by applicable law, NexusFleet, its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, revenue, data, business opportunities, goodwill, or any other intangible losses, arising out of or in connection with:

  • Your use of, or inability to use, the Platform.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any content, conduct, or actions of any third party on or through the Platform.
  • Errors, inaccuracies, or omissions in AI-generated outputs.
  • Any interruption or cessation of service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the use of the Platform exceed the total amount paid by you to NexusFleet during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

SECTION 11

Termination

We may suspend or terminate your access to the Platform, without prior notice or liability, for any reason, including but not limited to:

  • Breach of any provision of these Terms or any applicable policies.
  • Non-payment or repeated payment failures.
  • Fraudulent, abusive, or otherwise harmful conduct.
  • A request by law enforcement or other government authority.
  • Discontinuation or material modification of the Platform or any part thereof.

Upon termination, your right to use the Platform will cease immediately. We will make your account data available for export for a period of 30 days following termination, after which we reserve the right to delete your data permanently.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

SECTION 12

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be submitted to the exclusive jurisdiction of the courts of Malta. Notwithstanding the foregoing, if you are a consumer resident in the European Economic Area, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms shall deprive you of the protection afforded by mandatory provisions of the law of your habitual residence.

Before commencing any formal legal proceedings, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days. You may also have the right to use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
